Terms of Service

1. Overview

These Terms of Service govern your access to and use of Cannon Studio, a product and service operated by Cannon Creations LLC. By creating an account, purchasing a subscription or credit pack, uploading content, or using any generation, editing, narration, composer, or Creator Flow feature, you agree to these Terms.

If you do not agree to these Terms, do not use the service.

2. Eligibility, Authority, and Accounts

You must be legally able to enter into a binding agreement to use Cannon Studio. If you use the service on behalf of a company, client, production, or other entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the security of your account, credentials, connected login methods, devices, and payment methods, and you are responsible for all activity that occurs under your account.

You may not share accounts in a way that bypasses plan limits, impersonate another person or business, or access the service using credentials, payment methods, or content you are not authorized to use.

3. Plans, Credits, Billing, Taxes, and Auto-Renewal

Cannon Studio offers recurring subscriptions and one-time credit packs. Subscription billing is processed through Stripe and renews automatically until canceled. You can manage or cancel subscriptions through your billing settings, and changes typically apply at the end of the current billing period unless stated otherwise.

Credits may be used across eligible Cannon Studio tools and workflows. Subscription credits remain valid through the current entitlement window and may roll over for up to seven days after a successful renewal on most paid plans, or up to fourteen days on Pro. If a subscription does not renew, the final subscription-credit balance expires at the end of the paid period. One-time credit packs expire ninety days after grant. Promotional credits may expire on the schedule stated when granted. Creator rewards, admin manual credits, creator allotments, and creator transfers do not expire unless we clearly state otherwise.

When credits are deducted, Cannon Studio applies usage against the eligible credit grant that is closest to expiring first. Refunds may restore credits to the original grant when traceable; otherwise, restored credits may be issued as a separate time-limited grant. Chargebacks, disputes, and payment reversals may remove related credits or create a negative adjustment balance.

Except where required by law, payments are non-refundable. We do not issue refunds solely because an AI output did not match your expectations, because you changed your mind, because a project required multiple attempts to reach your desired result, or because a provider, model, or feature changed after purchase.

You are responsible for applicable taxes, duties, levies, and similar charges other than taxes based on our net income. We may correct pricing, crediting, billing, or tax mistakes even after a charge has been submitted or processed.

4. User Content, Ownership, and Feedback

You retain whatever rights you already hold in the prompts, scripts, uploads, recordings, voice settings, project data, and outputs associated with your account, subject to any third-party rights and applicable law.

You grant Cannon Creations LLC and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, modify for formatting and technical purposes, display, perform, distribute, and otherwise process your content as needed to operate, secure, support, moderate, troubleshoot, improve, and provide the service and related business operations.

You represent that you have all rights, permissions, and consents necessary to submit the content you upload or generate, including any rights related to likeness, voice, music, trademarks, copyrighted materials, or client assets.

If you submit feedback, ideas, feature requests, bug reports, or workflow suggestions, you grant Cannon Creations LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback without restriction or compensation.

5. Public Submissions, Sharing, and Promotional Use

Certain Cannon Studio features allow you to publish, submit, share, export, or otherwise make content available to others, including Studio TV, creator showcases, community features, marketing spotlights, public URLs, and social sharing flows.

If you intentionally submit content to a public or promotional feature, you grant Cannon Creations LLC and its designees a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt for formatting, publish, publicly display, publicly perform, distribute, promote, and feature that submission, along with your creator name, project title, profile branding, thumbnails, and related descriptive metadata, in connection with that feature and Cannon Studio marketing.

We may remove, refuse, edit for formatting, or stop featuring any public submission at any time. Removing content from a public feature does not require us to delete lawful backup, archival, moderation, accounting, fraud-prevention, or previously distributed copies.

6. AI Features, Provider Services, and Confidentiality

Cannon Studio routes requests through internal systems and third-party providers that support image generation, video generation, narration, music, sound effects, lip sync, editing, hosting, billing, and communications. Outputs may be inaccurate, inconsistent, incomplete, biased, or unavailable.

AI outputs are generated statistically and are not guaranteed to be unique. Similar or overlapping outputs may be generated for other users or by other systems.

Your use of certain features may also be subject to third-party provider rules, service limitations, downtime, safety restrictions, or other terms. Cannon Studio may change, add, or remove underlying models and providers at any time.

Unless we expressly agree otherwise in a separate written agreement, Cannon Studio is not a confidential storage, legal hold, escrow, or regulated-data environment. Do not use the service as your only copy of important materials, and do not submit highly sensitive, regulated, or mission-critical data unless you accept the risks of provider processing and cloud storage.

7. Acceptable Use

You may not use Cannon Studio to create, upload, process, distribute, or facilitate content or behavior that is illegal, fraudulent, infringing, abusive, deceptive, exploitative, or harmful.

  • Child sexual abuse material or any sexual exploitation content
  • Non-consensual intimate imagery, targeted harassment, hateful content, or credible threats of violence
  • Impersonation, unauthorized voice cloning, deepfakes used deceptively, fraud, deceptive political manipulation, or misleading medical, legal, or financial claims
  • Copyright, trademark, privacy, publicity-right, or contractual violations
  • Submission of content, voice samples, likenesses, or client materials without all required rights, permissions, notices, and consents
  • Malware, credential theft, scraping abuse, automated abuse, benchmark harvesting, model extraction, account abuse, or attempts to bypass limits, monitoring, moderation, or billing controls
  • Use involving regulated personal data where unlawful or inappropriate, including health, financial-account, government-ID, or biometric data you are not authorized to process through the service
  • Content or conduct that violates applicable sanctions, export controls, or other laws

8. Moderation, Investigations, Suspension, and Termination

We may review content, metadata, billing events, and usage signals to enforce these Terms, investigate abuse, prevent fraud, comply with legal obligations, and protect Cannon Studio, our users, and our providers.

We may suspend, restrict, remove, disable, or terminate access to any account, project, public submission, API surface, shared link, or feature at any time for violations of these Terms, suspected abuse, payment issues, chargebacks, repeat infringement, security concerns, provider restrictions, legal risk, or operational needs.

We may preserve and disclose information if we believe it is reasonably necessary to investigate abuse, enforce our agreements, respond to legal process, or protect Cannon Studio, our users, partners, providers, or the public.

9. Availability, Beta Features, and Service Changes

Cannon Studio is provided on an evolving basis. Features, models, pricing, limits, concurrency rules, plan entitlements, and product workflows may change over time. We may also pause or retire features, models, or plans.

We do not guarantee uninterrupted availability, specific model access, exact turnaround times, or permanent compatibility with any particular provider or workflow.

Some features may be labeled alpha, beta, preview, experimental, or similar. Those features may have additional bugs, instability, limited support, and data-loss risk and may be changed or removed at any time.

10. Copyright Complaints and Repeat Infringers

If you believe content on Cannon Studio infringes your intellectual property or other rights, contact us with enough detail for us to investigate, including the claimant identity, claimed work, allegedly infringing material, and basis for the claim.

We may remove or disable access to material alleged to be infringing and may suspend or terminate repeat infringers or accounts that repeatedly create legal risk for Cannon Studio, our providers, or other users.

11. Disclaimers

Cannon Studio is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

We do not guarantee that outputs will be lawful, accurate, production-ready, commercially suitable, free of third-party claims, or suitable for any specific use. You are responsible for reviewing, editing, clearing rights, and deciding whether and how to use outputs.

We do not provide legal, compliance, medical, tax, accounting, employment, securities, or other professional advice, and nothing in the service should be relied on as a substitute for qualified professional review.

12. Limitation of Liability

To the maximum extent permitted by law, Cannon Creations LLC and its affiliates, officers, employees, contractors, licensors, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to your use of Cannon Studio.

To the maximum extent permitted by law, our total liability for claims arising from or related to the service will not exceed the amount you paid to Cannon Studio in the twelve months preceding the event giving rise to the claim.

13. Indemnity

You agree to defend, indemnify, and hold harmless Cannon Creations LLC and its affiliates, officers, employees, contractors, licensors, and providers from and against claims, liabilities, damages, losses, and expenses arising out of your content, your use of the service, your violation of these Terms, or your violation of any law or third-party rights.

14. Disputes, Governing Law, and Venue

Before filing a legal claim, you agree to notify us at chase@cannonstudio.app and attempt to resolve the dispute informally for at least thirty days, unless urgent injunctive relief is reasonably necessary.

To the maximum extent permitted by law, any claim arising out of or relating to Cannon Studio or these Terms must be brought within one year after the claim arose, or it is permanently barred.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or Cannon Studio must be brought exclusively in the state or federal courts located in Texas.

Nothing in these Terms prevents Cannon Creations LLC from seeking injunctive or equitable relief in any appropriate jurisdiction for misuse of the service, infringement, abuse, or security threats.

15. General Terms

We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, financing, asset sale, or other corporate transaction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We are not liable for delays or failures caused by events beyond our reasonable control, including provider outages, internet failures, infrastructure incidents, labor disputes, natural disasters, war, terrorism, epidemics, governmental actions, or utility failures.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify users through the product, by email, or by updating this page. Continued use of Cannon Studio after updated Terms take effect constitutes acceptance of the revised Terms.
